By accessing this Data Room, you agree to all terms below.

  • No Copy / No Screenshot — Any reproduction, screen capture, or distribution of VDR content is strictly prohibited and constitutes a material breach.
  • Binding NDA — All information is proprietary. Clicking "Accept & Proceed" constitutes your electronic signature and full acceptance of the Non-Disclosure Agreement.
  • LOI + Angola Visit Commitment — Qualified investors must submit a Letter of Intent (LOI) indicating proposed date of visit to Angola (pilot project site) and willingness to provide preliminary administration funds for the visit.
  • Preliminary Fund Commitment — The visit administration fee is separate from investment capital and covers logistics, security, and government liaison.
LOI TEMPLATE (to be sent after form submission)

🔒 CONFIDENTIALITY & NON-DISCLOSURE AGREEMENT (ELECTRONIC)

This NDA is entered into between ACW-SEDCI Consortium ("Disclosing Party") and the undersigned investor ("Recipient"). Recipient agrees: (1) Not to copy, photograph, screenshot, record, or reproduce any VDR materials; (2) Not to share access credentials; (3) To use information solely for evaluating Angola Pilot investment; (4) That any breach causes irreparable harm and injunctive relief may be sought; (5) That clicking "Accept & Proceed" constitutes a legally binding signature under applicable laws. This NDA survives termination of access.

Additionally, Recipient commits to submit a formal LOI within 5 business days after VDR access, indicating a proposed visit date to Angola and confirmation of ability to provide preliminary administration funds for the site visit (refundable/credited upon closing). Failure to submit LOI will result in immediate revocation of access and legal liability for damages.

All access attempts are logged. Fee waived for pre-authorized partners but all legal obligations remain.
